The details are as follows: 1. The date on which the transaction occurred : May 13, 2003 2. The parties involved Buyer : Thanulux Public Company Limited is the garment and leatherware business. Seller : Saha Pathana Inter-Holding Public Co., Ltd. is the holding company. 3. The general characteristics of the transaction : Acquistion of assets 4. The details of assets acquired : The land is approximately 6 Rai 170 Square-Wa Tambul Nongkharm, Ampur Sriracha, Cholburi Province. 5. The total value of the consideration : The value of land is approximately Baht 23.0 million. The estimated infrastructure is Baht 5.0 million. The total estimates Baht 28.0 million (Assessed price Baht 600,000 per Rai). 6. The type of payment : Cash payment 7. The value of the assets acquired : Our group-companies which are our supply chain will rent this land for their factory utilization. It is quite convenient for communication and co-operation among each others. 8. The sources of funds : Company's working capital 9. The volume of the transaction : This transaction has not considered as the transaction prescribed in the notification of The Stock Exchange of Thailand on Re: Rules, procedures and disclosure of information concerning the execution and disposition of assets of listed company : 1.84% considered as the transaction prescribed in the notification of The Stock Exchange of Thailand Re: Rules, Procedures and disclosure of connected transactions of listed companies.
